PETROPIA Terms and Conditions of Service

1. Acceptance of Terms

By creating an account, accessing, or using any part of the PETROPIA Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and in such case, "you" or "your" will refer to your organization.

2. Description of Services

PETROPIA is a comprehensive AI Powered cloud-based forecourt automation solution designed for fuel stations in Ethiopia and beyond. It provides fuel station owners and management with a complete view of their station's operations, empowering them with data-driven insights.

Key features of the Services include:

• Real-Time Monitoring: Real-time oversight and monitoring of station activities, inventory, and transactions.
• Remote Price Change: Tools for efficient management and implementation of fuel pricing changes across all pumps.
• Pump Automation: Accurate fuel dispensing and sales tracking to minimize errors and prevent fraud.
• Tank Monitoring: Real-time fuel level tracking to minimize theft and prevent losses.
• Comprehensive Reporting: Generation of precise operational, financial, and compliance reports.
• Prompt Notifications: Timely alerts and notifications regarding critical operational events and inventory levels.
• Cloud-Based Platform: Access your station data from anywhere with automated processes and alerts.

3. Account Registration and Security

3.1. Account Creation

To access and use certain features of the Services, you must register for an account and provide accurate, current, and complete information as requested during the registration process.

3.2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account login information (username and password) and for all activities that occur under your account. You agree to notify Nafta Labs immediately of any unauthorized use of your account or any other breach of security.

3.3. Accuracy of Information

You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. Nafta Labs reserves the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

4. User Obligations and Conduct

4.1. Lawful Use

You agree to use the Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

4.2. Prohibited Activities

You agree not to:

• Use the Services in any way that violates any applicable national or international law or regulation.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm Nafta Labs or users of the Services.
• Use the Services for any fraudulent or illegal activity, or to transmit any material that is unlawful, harmful, threatening, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Services.
• Upload or transmit any viruses, malware, or any other malicious code that could harm the Services or any user's device.

4.3. Data Responsibility

You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all data and information that you submit to the Services.

5. Intellectual Property Rights

5.1. Ownership

All intellectual property rights in the Services, including but not limited to the software, design, text, graphics, logos, trademarks (including PETROPIA and Nafta Labs PLC), and all content and materials provided through the Services, are owned by Nafta Labs PLC or its licensors.

5.2. Limited License

Subject to your compliance with these Terms, Nafta Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business operations.

5.3. Restrictions

You may not copy, modify, distribute, sell, lease, rent, loan, or otherwise exploit any part of the Services or its content without the prior written consent of Nafta Labs.

6. Data Privacy and Protection

6.1. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, process, protect, and disclose your personal and operational data.

6.2. Data Controller/Processor

As outlined in our Privacy Policy, Nafta Labs acts as a Data Controller for certain data and a Data Processor for operational data submitted by our clients. You acknowledge and agree to the roles and responsibilities described therein.

7. Fees and Payment

If you subscribe to paid features of the Services, you agree to pay all applicable fees and charges as described on our website or in your service agreement. All fees are non-refundable unless otherwise expressly stated. Nafta Labs reserves the right to change its pricing at any time upon reasonable notice.

8. Disclaimers

8.1. "As Is" Basis

The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

8.2. No Warranty of Accuracy/Availability

Nafta Labs does not warrant that the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that the results obtained from the use of the Services will be accurate or reliable.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Nafta Labs PLC, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory.

10. Indemnification

You agree to defend, indemnify, and hold harmless Nafta Labs PLC and its licensees, licensors, employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of the Services; (b) a breach of these Terms; or (c) your violation of any rights of another.

11. Termination

Nafta Labs may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us at [email protected].

12. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in Addis Ababa, Ethiopia, in accordance with applicable Ethiopian laws. The language of the arbitration shall be English.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Nafta Labs on the Services, constitute the entire agreement between you and Nafta Labs regarding the Services.
